BTS is a mergers and acquisitions (M&A) firm serving small businesses and lower middle market companies with revenues between $2 million and $10 million. We provide sell-side M&A advisory services to private companies, mostly within New England, designed to help owners prepare and complete a transfer.
BTS continues to actively engage business owners across the region who are interested in selling. We welcome a chance for a conversation, whether the goal is to sell now or sometime in the future. Contact us if you would like to begin the conversation.
Each BTS engagement is led by an M&A Advisor, backed by a dedicated support team. That structure keeps a consistent point of contact for the owner throughout the process, with the resources needed to move a deal forward efficiently. The BTS advisor also coordinates with the client’s own team, typically an attorney, accountant, and wealth manager, throughout the process.
The BTS process starts with analyzing the business financials and operations. We develop an Estimate of Value (EOV) to confirm that our client’s expectations are consistent with the business value in today’s market. We then move to developing marketing materials and researching and identifying targets, potential strategic and financial buyers. Finally, we go to market and continue with the process until we have signed a Letter of Intent and a successful closing.
We develop a professionally prepared Confidential Business Review (CBR) detailing the company’s unique history and story, operations, financials, and other critical information, which is provided to potential buyers once they’ve signed a confidentiality agreement. In addition, there’s a one-page teaser, or blind profile, used to attract buyers through our initial contact.
BTS provides the services and resources to achieve your goal of selling your company. In some cases, a transaction can provide the owner a transition period between the all-consuming role of owner and retirement, by staying involved with the former business in a limited or advisory role. Whether you’re selling to enjoy retirement, pursuing a recapitalization for growth, or organizing a management buyout so your team can pursue its own growth vision, BTS can advise you through the process.
If a sale is a few years out, that’s a good time to start preparing. Through Exit Advantage℠, owners can build long-term value well before a transaction is on the table, strengthening the business in ways that pay off later.
If a sale or transition is a year or more away, that’s actually a good time to start. Through Exit Advantage℠, we help owners build value well before a transaction is on the table, strengthening the business in ways that pay off later, whether that means a stronger sale down the road or growing into a larger opportunity altogether.
Only a small share of privately held businesses successfully transition, to a buyer, a partner, or the next generation. The ones that do are almost always the ones that started preparing early.
